Financial advisory

We read a project the way the lender, the investor and the operator will read it — and fix before due diligence what would stop the signature.

Method

How a mandate unfolds

  1. Diagnosis

We understand the decision to be made, the timeline and the constraints. We sign an NDA before any numbers.

  2. Modelling

We build the model that will survive due diligence, with explicit assumptions and conservative, base and upside cases.

  3. Structuring

We define sources, instruments, collateral and transaction design, and prepare the materials for lenders or investors.

  4. Execution

We negotiate, coordinate lawyers and advisors, and stay through signing and disbursement.

Principles

How we work

  • We do not recommend or distribute investments: our work is to structure and negotiate on behalf of the client.
  • We never act on both sides of the table unless both parties know and agree — as at Embraport, where both shareholders jointly appointed us to set the strike price of an option.
  • All information we receive is confidential; when needed, the NDA comes before the first technical conversation.
  • The partners lead every mandate. For each project we assemble a team of senior associates and specialist advisors — engineering, legal, tax, environmental, market and demand — with no fixed overhead for the client to carry.

FAQ

Before you call us

What does a financial advisor do in project finance?

They design the project’s capital structure and defend it in front of the lenders. In practice: building the financial model, sizing debt on cash flow, choosing sources (BNDES, multilaterals, banks, debentures), negotiating term sheet, collateral and covenants, and coordinating the other advisors through disbursement.

When should you hire a financial advisor for a concession or PPP?

Before the bid. The bid price depends on the cost and tenor of financing, and financing depends on how the contract’s risks were read. Bringing in an advisor only after winning usually means renegotiating what was already promised.

Does Praxys only work in ports?

No. Ports and logistics are our roots, but the track record includes highways and concessions, energy, urban mobility, water and sanitation and real estate, in Brazil and abroad. The method applies to any capital-intensive asset with long-term revenue.

Does Praxys recommend investments?

No. Praxys does not recommend or distribute securities. We structure and negotiate transactions for the client who hires us.

How does a conversation start?

By e-mail or through the contact form, with the sector, the project stage, the order of magnitude of the investment and the decision to be made. If needed, we sign an NDA before the technical discussion.
